1. Introduction and Acceptance
These Terms of Use constitute a legally binding agreement between you (the "Client") and Space Captures Ltd ("we," "us," or "our"), governing all services accessed through www.spacecaptures.com, email correspondence, telephone inquiries, or on-site engagements. By submitting a quotation request, scheduling a scan, or permitting our technicians to access your property, you explicitly agree to these terms in their entirety. If you act on behalf of an organization, you warrant authority to bind said entity.
2. Service Description and Limitations
Space Captures Ltd provides professional 3D laser scanning, photogrammetry, and spatial data processing services at physical locations within the United Kingdom. Our technicians travel to client-specified premises to capture dimensional data using specialized equipment. You acknowledge and accept that service quality may be affected by factors beyond our control, including but not limited to: inadequate lighting conditions, structural obstructions, restricted site access, electromagnetic interference, adverse weather, and client-provided inaccuracies in site specifications. We reserve the unconditional right to terminate any engagement if site conditions pose safety risks, violate legal restrictions, or prevent adequate data capture. All quotations provided are valid for 30 days and remain non-binding until formal written acceptance by both parties.
3. Client Responsibilities and Representations
As a condition of our services, you affirm that:

You possess legal authority to grant access to all scanning locations, including third-party properties or restricted areas.

You have disclosed all site hazards (asbestos, unstable structures, high-voltage equipment, etc.) prior to technician dispatch.

Information provided in quote requests (property addresses, contact numbers, architectural plans) is accurate and complete.

You have obtained necessary permissions for scanning sensitive environments (medical facilities, government buildings, private residences).
You agree to indemnify Space Captures Ltd against all claims, damages, or losses arising from breaches of these representations.
4. Intellectual Property Rights
All scanning methodologies, point cloud processing algorithms, proprietary software, and pre-existing technical frameworks remain the exclusive property of Space Captures Ltd. Upon full payment of fees, we grant you a non-transferable, non-exclusive license to use deliverables (3D models, scan data, reports) solely for the project’s intended purpose. Reverse engineering, commercial resale, or public distribution of raw scan data without express written consent is strictly prohibited. You retain ownership of client-provided materials (CAD files, site plans) but grant us a limited license to process them for service delivery.
5. Liability Limitations and Disclaimers
To the maximum extent permitted under UK law:

Our total aggregate liability for any claim (whether in contract, tort, or otherwise) shall not exceed 125% of fees paid for the relevant service.

We expressly exclude liability for:

Consequential losses including lost profits, business interruption, or reputational damage.

Data corruption resulting from client-side software incompatibilities.

Unauthorized third-party use of deliverables.

Inadvertent capture of copyrighted materials or personal likenesses during scanning.

Force majeure events (natural disasters, pandemics, civil unrest).

You assume all risks related to on-site activities, including minor property damage inherent to equipment setup (tripod marks on floors, temporary marker placement).
6. Data Handling and Confidentiality
While we implement reasonable security measures (detailed in Section 4 of our Privacy Policy), you acknowledge that laser scanning may unintentionally capture confidential elements (security systems, proprietary machinery, personal documents). You are solely responsible for identifying and securing such elements prior to our technicians’ arrival. We retain processing rights to anonymized metadata for diagnostic purposes and algorithm training but will never commercialize identifiable client data.
7. Dispute Resolution and Governing Law
Any disputes shall be resolved through mandatory mediation administered by the Centre for Effective Dispute Resolution (CEDR) in London. Unresolved claims after mediation will be subject to binding arbitration under the Arbitration Act 1996. Legal proceedings may only be brought in the courts of England and Wales, with claims barred if not filed within 12 months of service completion.
8. Modifications and Notices
We reserve the right to amend these terms at any time. Material changes will be communicated via email to active clients and published on this page with updated effective dates. Continued use of our services after such changes constitutes irrevocable acceptance. All formal notices must be sent to info@spacecaptures.com.
