Terms of Use

Business: Space Captures Ltd (“Space Captures”, “we”, “us”).
These Legal Terms apply to all services provided by Space Captures Ltd unless we agree otherwise in writing. If
you accept a quotation (including by email), you confirm you have read and agree to these terms.

1) Definitions
Client: the person or organisation instructing us. Services: building documentation and as-built information
services including laser scanning, measured building documentation, CAD drawings, BIM/Revit information
models and related deliverables. Deliverables: any drawings, models, PDFs, DWGs, RVTs or agreed files we
provide. Site: the property or area being surveyed.

2) Our scope 
Space Captures provides professional services limited to the capture and representation of existing
building information. Our deliverables represent existing conditions visible and accessible at the time of
survey.
We do not provide design, engineering, certification, valuation, statutory compliance, contractor setting-out, or
construction services unless expressly agreed in writing.
If something is not listed in the written quotation / scope, it is not included.

3) Client responsibilities
You must provide safe and suitable access to the Site and all areas that need to be documented. You must also
provide any required information (e.g., access instructions, contact details, special constraints) in good time.
If access is restricted on the day (locked rooms, restricted loft/roof access, unsafe areas, etc.), we will document
what we can and note what is missing. A return visit (if required) is chargeable unless the restriction was our fault.

4) Visibility limits and exclusions
Our outputs depend on what can be seen and measured. We are not responsible for elements that are hidden,
obstructed, unsafe or inaccessible, including (without limitation):
• Elements concealed behind finishes, ceilings, insulation, joinery, services, or furniture/stored items.
• Underground services, structural elements, or concealed construction not visible at survey.
• Areas not accessible on the survey date (locked rooms, restricted lofts/roofs, unsafe spaces).
• Items that move or change after the survey date.
• External areas where capture is limited by weather, lighting or access.

5) Accuracy, tolerances and verification
We use professional survey methods (including laser scanning). However, no survey is perfect.
Deliverables are subject to reasonable survey tolerances and site conditions.
Do not scale from drawings. All critical dimensions must be checked on site prior to construction, fabrication, or
commencement of works.

6) CAD drawings (2D)
CAD drawings are provided for design, planning and coordination purposes. They are not construction
setting-out information unless explicitly agreed in writing.

7) BIM / Revit models (information models)
Where BIM or Revit models are provided, they are issued as as-built information models based on the survey
data and the scope / level of detail (LOD) stated in the quotation.
They do not constitute design, fabrication, construction information, or contractor setting-out data.
• Models must not be used for construction, fabrication or setting-out without prior written agreement.
• Unless stated otherwise, models are suitable for design-stage coordination only (not fabrication).
• No design intent, structural design or MEP/services design is included unless explicitly agreed.

8) Listed buildings / heritage projects
For listed buildings and heritage projects, Space Captures provides existing-condition information only. We are not
responsible for planning outcomes, conservation officer requirements, or design compliance decisions made by
third parties.

9) Use, reliance and third parties
Deliverables are prepared for the Client named in the quotation and for the purpose described in the
quotation (typically design/planning/coordination).
No third party may rely on our deliverables without our prior written consent. If you share deliverables with third
parties (consultants, contractors, purchasers, lenders), you do so at your own risk.
If you require third-party reliance, tell us in advance so scope, terms and fees can be agreed.

10) Revisions, changes and additional work
Corrections of genuine errors against the survey data are included within a reasonable period after delivery.
Additional work is chargeable, including (without limitation):
• Changes to scope after acceptance (extra drawings, extra areas, higher LOD, additional outputs).
• Revisions due to new information provided after the survey date.
• Rework due to changes on site after survey.
• Presentation changes (rensheeting, alternative formats) beyond standard delivery.
We will confirm any additional fees before starting extra work.

11) Fees, payment and late payment
Fees are as quoted. Invoices are payable as stated on the invoice, unless otherwise agreed in writing. 
If payment is overdue, we may suspend work and/or suspend the right to use deliverables until payment is
received.
For business clients, we may charge statutory interest and recovery costs for late payment where applicable.

12) Cancellations and rescheduling
If you need to cancel or reschedule a site visit, please give as much notice as possible. We may charge a
reasonable fee to cover wasted time and travel where cancellation is late or access is not provided on arrival.
If access to the property is not available at the agreed survey time, or if a site visit is cancelled with less than 24 hours’ notice, Space Captures reserves the right to charge a reasonable abortive visit fee to cover time, travel, and preparation costs.

13) Intellectual property (IP) and license to use
Unless stated otherwise, Space Captures retains copyright in deliverables. On full payment, we grant the Client a
license to use the deliverables for the purpose stated in the quotation.
You must not re-sell our deliverables as standalone products or remove credits if present, without written
permission.

14) Notification of issues
The Client must notify Space Captures in writing of any suspected error or issue as soon as reasonably possible
after becoming aware of it.

15) Liability
We carry Professional Indemnity insurance with a limit of £500,000. To the fullest extent permitted by law, our total
aggregate liability arising from or in connection with the Services (contract, negligence, or otherwise) is limited to
the lower of the fee paid for the relevant project or £500,000.
Where permitted by law, we are not liable for indirect or consequential losses (e.g., loss of profit, loss of business,
delay costs).

16) Complaints and rectification
If you believe there is a problem, please tell us promptly and in writing. We will review the issue and, where
appropriate, correct genuine errors against the survey data within a reasonable time.

17) Governing law
These terms are governed by the laws of England and Wales and the courts of England and Wales have exclusive
jurisdiction.
